Mergers and Acquisitions

We represent both buyers and sellers in public and private M&A transactions and have been involved in all stages starting from preparation of data rooms, conducting legal due diligence to drafting, reviewing and negotiation of definitive and ancillary agreements. These agreements include share purchase, asset or business transfer, shareholders, joint-venture, escrow, share pledge, guarantee, option and employment as well as other ancillary contracts for each specific transaction. We also assist our clients in notification and approval processes before the regulatory authorities, such as the Competition Board and the Capital Markets Board; and completion of closing conditions contemplated by definitive agreements.

Enforcement & Bankruptcy Law

With the extensive banking experience of our founding members, we are offering a wide variety of representation, lawsuit and legal proceeding services to our domestic and foreign clients, including collection of their secured or unsecured claims, debt restructuring, non-performing receivable sales, and concordats.

Company Law and General Corporate Advisory

We assist our multinational and local clients by providing strategic and innovative solutions in various transactions within the scope of the Turkish Commercial Code and the Foreign Direct Investment Law e.g. incorporation of company, branch office and liaison office, company restructurings, merger, demerger, conversion and liquidation. Moreover, we have a broad range of experience in providing advice and guidance on general corporate matters, such as general assembly and board of directors’ meetings; duties and liabilities of management and shareholders; public disclosures and compliance with other corporate governance rules.

Compliance

We prepare compliance programs for our domestic and foreign corporate clients in connection with national and international sanctions, anti-money laundering and anti-terrorist financing, prevention of bribery and corruption, execute audits in favor of our clients' shareholders, and we provide legal opinions and advise on up-to-date international sanctions and regulations. We offer comprehensive advisory services to our clients within the context of protection of personal data legislation, which includes preparation of documents, analysis of work processes, compliance control and data transfer.

Projects and Construction

We represent domestic and foreign, public and private sector investors, lenders, employers, owners, and contractors in construction and development of large-scale infrastructure, transportation, industrial, commercial, residential, health, sports and tourism projects. We prepare and negotiate tender documents and agreements for EPC/turnkey, build-operate-transfer, building and engineering works, architectural design, subcontract, consultant, license and procurement, as well as bespoke contracts and ancillary documents for each specific project. We also advise on contract administration and management of claims during the course of a project; and represent our clients in litigation, international arbitration and dispute board proceedings.

Dispute Resolution

We represent our clients with regards to their commercial disputes before all levels of national and international dispute resolution bodies, including domestic courts, local and international arbitration and mediation proceedings.

Labor Law

We have extensive experience in labor law, and thus we provide services to our clients in all areas of labor law, including preparation of employment agreements, and employee manuals and handbooks; hiring and dismissal of employees; obtaining residency and work permits; as well as representation in labor law related disputes.

Intellectual Property Law

We offer services to our clients in the area of intellectual property law for matters such as brand, patent, copyright, utility model, protection of trade secrets, license and know-how agreements, and technology transfers.
